These General Terms and Conditions of Sale (or \"GTCS\") constitute the sales contract between the Customer and Advance Paris (as defined below). The terms and conditions described herein constitute the terms and conditions of sale, except in special cases expressly notified as such.\u00a0<\/b><\/p>\r\n
GCsV applicable are those present on the Advance Paris website on the day of purchase of an Advance Paris Product (as defined below). These GTC may be modified at any time by Advance Paris without notice to the Customer. May include Advance Acoustic Products, Third Party Products and\/or a Service Offering.<\/span><\/p>\r\n \"\u00a0<\/span>Service providers<\/b>\u00a0\"Service providers approved by Advance Paris.<\/span><\/p>\r\n \"\u00a0<\/span>Third-party products<\/b>\u00a0\"All products not marked Advance Acoustic or Advance Paris.<\/span><\/p>\r\n \"\u00a0<\/span>Software<\/b>\u00a0\"These include operating software and\/or application software and\/or update software.<\/span><\/p>\r\n \"\u00a0<\/span>Services<\/b>\u00a0Advance Paris Sarl\": services or technical support provided by Advance Paris Sarl or the Provider.<\/span><\/p>\r\n 2 Scope of application.<\/b><\/p>\r\n The present contract applies to the sales and services offered by Advance Paris for the benefit of a Customer without limit of time or geographical area.<\/span><\/p>\r\n 3 Quotations, Proforma, After-Sales Quotations, After-Sales Proforma and Orders .<\/b><\/p>\r\n Only written quotations, proformas, after-sales service quotations, after-sales service proformas and orders are valid, and only for the period indicated therein. If no validity period is indicated, the validity period is 10 days.\u00a0<\/span><\/p>\r\n Visit <\/span>Orders can be placed over the Internet via this website, or by telephone, post or fax. Return shipping costs will be borne by the Customer.<\/span><\/p>\r\n 7 Warranty.<\/b><\/p>\r\n Products are guaranteed for 24 months, excluding parts subject to wear and tear, for electronic products and equipment, 60 months for passive loudspeakers and 90 days for spare parts, after the date of delivery.\u00a0<\/span><\/p>\r\n In the event of a defect during the aforementioned warranty period, Advance Paris undertakes to repair or replace the Product within a reasonable period of time, taking into account the complexity of the problem, the availability of the Product and the cost of repair. <\/span>documents and information provided by the Customer.\u00a0<\/span><\/p>\r\n Advance Paris manufactures Products using new or equivalent components, in accordance with industry practice. Spare parts are new or reconditioned. The Advance Paris warranty is given in lieu of any other warranty whatsoever, to the fullest extent permitted by law.\u00a0 <\/span>Advance Paris may revise the warranty terms from time to time. Such changes will not apply to Products ordered prior to the date of change.\u00a0<\/span>All parts essential to the use of the Products delivered will be available to Consumers for three years from delivery.<\/span><\/p>\r\n This warranty does not cover :\u00a0<\/span><\/p>\r\n These exclusions are without prejudice to the warranty against hidden defects provided for in articles 1641 et seq. of the French Civil Code when the Product is sold to a Consumer.<\/span><\/p>\r\n 8 After-sales service.<\/b><\/p>\r\n After-sales services may be provided by Advance Paris or its Service Providers. Intervention times are estimated.\u00a0<\/span><\/p>\r\n 9 Responsibility.<\/b><\/p>\r\n Excluding gross negligence on the part of Advance Paris and compensation for bodily injury, liability <\/span>Advance Paris' liability is limited, all causes combined, to a sum which, in the absence of any stipulation to the contrary in the contract, is capped at fifty percent (50% excl. VAT) of the sums received for the supply of Products or Services on the date of the claim.\u00a0<\/span><\/p>\r\n Only damage caused to the defective Product will be eligible for compensation, on condition that the liability action is brought during the warranty period as defined in article 7, and to the exclusion of damage caused to other property of the Customer and third parties. The Customer waives all recourse against Advance Paris and its insurers, both in its own name and in the name of its insurers. The Customer indemnifies Advance Paris against any claims that may be made in this respect by third parties. The Customer guarantees the waiver of recourse by its insurers or third parties in a contractual situation with it, against Advance Paris or its insurers.<\/span><\/p>\r\n 10 Force majeure.<\/b><\/p>\r\n Advance Paris cannot be held responsible for delays in delivery or performance of Services caused by events beyond our control, and will be granted additional time in the event of strikes, for example, <\/span>acts of terrorism, war, problems affecting suppliers, transport or production, fluctuations in prices, etc. <\/span>exchange rates, acts of public authorities, natural disasters. If such a situation lasts more than 2 <\/span>month, the contract may be terminated by either party without compensation.<\/span><\/p>\r\n 11 Confidentiality.<\/b> Each party shall treat confidential information received from the other party with the strictest confidentiality, i.e. at least equal to the treatment it reserves for its own confidential information. Confidential information is any information or data, on any medium and of any nature, identified as such or of which there can be no doubt as to its confidential nature.\u00a0<\/span><\/p>\r\n 12 Consumer rights.<\/b><\/p>\r\n This contract does not modify the mandatory statutory rights granted to Consumers. If any provision of these GTC is held to be illegal, invalid or void, such provision shall be replaced by a legal and valid provision which best respects the spirit of the original provision.<\/span>.<\/b><\/p>\r\n 13 Litigation.<\/b><\/p>\r\n This contract is subject to French law and to the sole jurisdiction of the Tribunal de Commerce de Paris, if the Customer is a merchant.
